Live blogging: Siemens conference call on acquiring LMS (updated with Q&A)

Waking up early is a good thing sometimes, like this morning when a 4:32am press release (Pacific time zone) alerted me to a 7am conference call. The night before I had seen the press release about Siemens acquiring LMS. Unlike press releases from American CAD vendors, the one from Siemens is nicely detailed: LMS is from Belgium and has 1,200 employees They make software that does mechatronic testing, and have revenues of about US$240 million a year. Their software tests for acoustics, vibrations, oscillations, fatigue strength, and dynamics in aircraft, vehicles, and so on. Purchase price is roughly US$880 million... Read more →

File this switch under "HUH?"

Just about the time we get to thinking that 3D Systems aims to be the all-in-one competitor against Autodesk, they spin off Alibre's CAM software. Now, Alibre CAM was always written by MecSoft, but it was sold by Alibre, and then by 3D Systems after they bought out Alibre. Now we learn that 3D Systems doesn't want to do that anymore: Effective October 15, 2012, Alibre CAM, a fully integrated CAM product running inside the Alibre Design family of CAD products, will now be sold and supported directly by MecSoft. What MecSoft's CEO thinks about the HSMworks acquisition

Joe Anand is ceo of Mecsoft, maker of such CAM software as VisualMill and FreeMill. Yesterday he launched the company's new blog with a couple of thought-provoking articles. One on the state of manufacturing in the USA, the other on Autodesk's acquisition of the Solidworks-only CAM software from HSMworks of Denmark. It seems Autodesk kickstarted what we've been expecting to see for years: the amalgamation of the CAM (computer-aided manufacturing) industry. (It has too many small players.) Autodesk (headquartered in USA) bought a CAM system designed for SolidWorks (a kick in the bollocks, we presume) from Denmark ...and now Siemens PLM (nominally of the USA) bought Kineo CAM of France. Autodesk acquires a CAM maker -- HSMworks -- finally!

Those of us who speculate over the goings on in the CAD world had long wondered why Autodesk was MIA when it came to acquiring a CAM software vendor. This was a large hole in its product offerings. Part of the problem may have been that there are so many commpanies Autodesk could choose from, for the CAM market is greaty fragmented by dozens of small vendors. The CAM market certainly does not suffer from oligopoly problem. Rumours pushed around in the preceding months insisted Dassault was the suitor of SketchUp, offering $190 million. Another rumour has it that Autodesk set up an office in Colorado across the street from SketchUp offices to hire away staff -- SketchUp has been a thorn in Autodesk's side for... many reasons. Open Mind CAM meeting, they gave some info on the think3 situation. (HT: J.S.) (Don't confuse Open Mind CAM with the Open Mind Initiative. The latter is a "world-wide effort to collect information from non-expert 'netizens' to teach computers the things we know but take for granted. Punch Software is purchased by its distributor

Punch Software makes a range of CAD programs, ranging from the $9.99 Bathroom Designer to the $1,795 Shark FX 2D/3D solid and surface modeler with CATIA v4 and PRO/E importers. Overnight, the company announced it was acquired by its distributor, Navarre, a retail software distribution company. Punch products become part of Navarre's Encore division, which publishes software titles like Reader Rabbit, Family Tree Maker, and 3D Home Architect. From the Budapest Business Journal, we learn that the EU does not consider Dassault Systemes and IBM to be competitors, because... ...since under their contractual arrangement they each generally focus on selling to different types of customers. In a late evening press release rushed out by Dassault Systeme's pr team, the company announces it intends to buy IBM "The Future is Bright" PLM for $600 million, cash: "We've just inked the largest deal in DS history." The deal will take some time to complete, probably not until sometime in the first half of 2010. In return, Dassault becomes one of IBM's Global Alliance partners. Premier Farnell of England pays e7 million (US$9 million) for both the German-based CadSoft Computer GmbH and the US-based CadSoft Computer Inc. The 20-year-old CadSoft has sold its EAGLE software (PCB design, schematic capture, board layout, and autorouter) to 40,000 engineers. (This sale has nothing to do with that other CadSoft that sells Envisioneer software for architects and contractors, and is located in Canada.) Bidding War Over MSC

MSC Software was all set to be bought out by Symphony Technology Group for $7.63 per share (roughly $370 million). Then last week came a better offer from an unnamed third-party for $8.15/share. Symphony matched the offer, and now MSC says they're "carefully considering the Symphony Revised Offer and the Third-Party Offer." Right Hemisphere has sold Esperient and its Creator software to Home Partners Corporation. According to the email blast sent out this morning, very few Esperient employees lost their jobs. MSC Software has sold itself to a private equity group for $360 million (about $7.63 per share). Buyers are Symphony Technology Group and Elliott Management Corp. Source. But Lawyers Unhappy Shareholders Foundation is hoping to cash in on the sale by declaring the price too low. After a statement from Autodesk sounded to some that it was discontinuing development of its ConstructWare online project management software, owners of half-billion-dollar construction projects became concerned, reports ENR.com in Collaboration Tool Feels a Chill And Hearts Skip a Beat. LocationLogic Worth $25 million

TeleCommunication Systems is buying Autodesk's old LocationLogic division for $25 million -- $15 million cash and $10 million in TCS stock. But they're not buying the division directly; Autodesk earlier this year unloaded the division to a couple of private equity investors, Hale Capital Partners and Hale Global. No word on the profit the investors made on the sale. TCS figures the investment will pay off quickly, since LocationLogic generates $18 million a year in gross revenues -- and that the niche is growing 50% a year, as anticipated by market research firm IDC. A rumour circulated earlier this week around the press room at SolidWorks World that CADalyst magazine was on the block. A prominent columnist had already lost his position there, and another columnist told me he heard the magazine's staff was thinking of buying the mag from the pub. Roopinder Tara did the leg work, and found the rumour to be true: Questex to Abandon Cadalyst Magazine; Staff attempting to raise money to continue publishing. "Let's get logical, logical / I wanna get logical..." Autodesk bought iLogic from ADN member Logimetrix in December, and now Autodesk is giving it away free to Inventor 2009 users on subscription [Are there any who aren't? - Ed.] under the name of Inventor iLogic Extension 2009. MicroGDS Has New Owners (Again)

Sometimes, you don't know acquisitions have occurred. And even when they do, nothing changes after wards. Like this one: Software marketing company Selective Software Holdings acquires the British business of Informatix Software International (ISI) from Japanese parent, Informatix Incorporated. The newly acquired company will keep its Informatix Software International name, and retains the right to develop and market MicroGDS and Piranesi worldwide -- except in Japan. New versions of MicroGDS CAD software and Piranesi non-realistic rendering software will be released later this year. ISI had acquired the software from US-based Convergent Group in 1997. Autodesk Buys Algor: $34 Million

Upon completion of the acquisition, Autodesk's current intent is to integrate ALGOR into its Manufacturing Solutions business unit and to continue developing and selling ALGOR's core product line. Autodesk plans to continue developing the ALGOR products with an open approach, allowing direct data exchange between ALGOR products and multiple computer aided design software offerings. 3D Systems adopted a poison-pill defense last week, despite the company not being subject to a hostile takeover. Ah, but maybe this is a signal being sent out that it wishes to be bought. The plan is pretty complicated, one that I can't fully figure out. Perhaps that is the first line of defense, grasshopper: make the poison-pill terms so complex that potential suitors back away. New best-friends-forever SpaceClaim and Bricsys are joining forces in a SolidWorks/Cadopia-like arrangement. In SolidWorks, the DWG editor is was a standalone version of IntelliCAD provided by Cadopia, and rebranded as DWGeditor -- one of the names over which Autodesk is having a temper tantrum. PTC Amends ASM Rules

Parametric Technology has dramatically changed its rules governing the conduct of its annual shareholders meeting. Here's what's new and different: No shareholder need be physically present, and can vote remotely. Proxy votes can now be submitted up to 11 months in advance. Oracle Already Rejected PTC?

In speaking with a senior vp of one of PTC's primary competitors, he tells me his company would prefer Oracle buying PTC. Reason? Oracle probably wouldn't know what to do with the acquired technology, and make PTC less of a competitor. An industry analyst tells me, however, that Oracle has already rejected the purchase offer. MarketWatch reports that PTC is looking for a buyer. Price: $2 billion $2.4-2.8 billion. If true, that price is cheap. The company's market capitalization today is $2.4 billion (news of the sale jumped the share price by 10%), and revenues from its last four quarters was $1.03 billion. A more likely sale price should be at least $3 billion. Dassault Unloads French Sales Team

Dassault Systemes today exited direct sales of its PLM software in France, Belgium, and Luxembourg. Its Dassault Systemes Solutions France division had handled SMBs; the division and its 120 employees are launched as a new independent company named Keonys, which gets DS Value Added Reseller designation.The press release spins its this way:In line with Dassault Systèmes’ plan launched in 2006 to build a powerful PLM indirect sales channel, the creation of reinforces Dassault Systèmes’ network of PLM resellers in more than 60 countries.This move is surprising, because Dassault has been taking back sales from IBM. FLO Rejected by ADSK

Autodesk has decided against Flomerics -- for now. Flomerics doesn't want to be bought by Mentor (anyone know why not?) and hoped Autodesk would instead (anyone know why?). Autodesk mulled it over for a few weeks, and decided against being the white knight. Meanwhile, unwanted suitor Mentor is itself not having much luck. Engineous Software Worth $40M to DS

Engineous Software and its 95 employees are being bought by Dassault Systems for its Delmia Simula division at $40 million, reports the Triangle Business Journal. Its software automatically determines optimal designs and trade-offs with direct links to most CAD software, Excel, Word, MATLAB, Ansys, Adams, and Patran. Annual revenues were $17 million in 2007. Flomerics to Autodesk: Save Us from Mentor

ShareCast reports that Flomerics doesn't like the unwanted, undervalued offer from Mentor Graphics, and is hoping Autodesk will pay a lot more more. The company confirmed this morning that it is involved in discussions with Autodesk regarding a possible merger. Flometrics specializes in software fluid dynamics and thermodynamics; Mentor Graphics does electronic design software. Interactive Investor reports that Mentor already owns nearly 30% of Flomerics. Update Mentor is offering only 102 pence (100 pence to the British pound), while Flomerics current share price is 112 pence. The non-appearance of Autodesk CEO Carl Bass at this week's annual luvfest Bentley Systems puts on for its user base is leading to speculation that the west coast company is preparing to gobble up the east coast one. Adena Schutzberg alerts us in All Points Blog that Microsoft has bought out Caligari for use with its Virtual Earth site. She writes, "I think I've heard of the company from my days in CAD. Nokia Closes German Plant

The story of Nokia closing the last cell phone manufacturing plant in Germany is fascinating to me. As a self-employed businessman operating in Western Canada, I launched and operate my business with no government subsidies -- except for one: this small business pays a lower corporate tax rate than do larger businesses. Is 2008 the age of consolidation for the CAM market? Others more informed than myself have noted that there are too many CAM software developers, all them much smaller than most CAD companies. How small? This small: -- Cimatron is buying Gibbs & Associates for $5 million and 1.5 million shares. -- The combined companies annual revenues will be over $40million (Gibbs providing $12 million of that). -- This size of company places Cimatron in the top 10 among CAM software vendors. Winners and Losersin Mergers

When one company buys out another, it gives the smaller company a chance to survive. People get to keep their jobs, customers get to keep using the product. But there are also losers. Dilbert's Law of Mergers calls for 15% to always be laid off. Plus, there is the negative-hiring effect. A brief news item this morning reports that Autodesk bought up all of Hanna Strategies. Who? Back in April 2006, Autodesk acquired 28% of the company for US$12.5 million, with an option to purchase the other 72% -- for $32 million, presumably.
